These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Advisor," or "you") and Agent Matthew, LLC, operating as WealthLens ("Company," "we," "us," or "our"), governing your access to and use of the WealthLens financial strategy platform, including all features, tools, AI engines, client portals, and related services (collectively, the "Service").
By creating an account, accepting an invitation, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.
Section 01
Acceptance of Terms
By accessing or using WealthLens, whether via direct registration, an invitation link, or any other method, you acknowledge that you have read, understood, and agree to be bound by these Terms as of the date of first access ("Effective Date").
If you are using the Service on behalf of a company, brokerage, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to that entity.
Section 02
Description of Service
WealthLens is a financial intelligence platform designed for licensed mortgage professionals ("Advisors"). The Service enables Advisors to:
- Build, model, and compare multi-scenario mortgage strategies.
- Generate interactive financial analyses using AI-assisted tools.
- Share branded client portals containing mortgage strategy presentations.
- Access AI-powered compliance research, strategy coaching, and market context.
- Import loan data from external Loan Origination Systems (LOS) via MISMO 3.4 XML.
- Monitor client rate profiles for refinance opportunity alerts.
Section 03
Subscription, Billing & Refunds
Access to the Service is provided under one or more subscription plans. By subscribing, you agree to the following terms:
- Subscription Plans. WealthLens offers three subscription tiers: Standard, Pro, and Enterprise. Current pricing, billing cadence options, and the specific features included in each tier are listed on the in-platform Plan & Power-Ups page (Profile → Plan & Power-Ups), which supersedes any other reference. You should review that page for current rates before subscribing.
- Billing & Auto-Renewal. Paid subscriptions are billed in advance, either monthly or annually, via Stripe. Subscriptions automatically renew at the end of each billing period at the then-current rate until cancelled. You may cancel at any time via Profile → Plan & Power-Ups; cancellation takes effect at the end of your current billing period, and you retain access through that period. No advance cancellation notice is required beyond initiating cancellation before the next renewal date.
- Free Trial & Reverse Trial. New accounts receive a thirty-seven (37) day Pro trial, thirty (30) days of primary trial plus seven (7) days of bonus extension, at no cost and without requiring a credit card. At the end of the trial, your account automatically converts to the Standard tier; no charge will be made unless you proactively upgrade to Pro or Enterprise. You may upgrade at any time during the trial; upgrading begins your paid subscription immediately and ends the remaining trial.
- Refund Policy. All fees are charged in advance and are non-refundable, except where required by applicable law or where we determine, in our sole discretion, that a refund is appropriate (for example, in the case of a billing error or material service unavailability). Cancellations apply on a forward-going basis only; we do not pro-rate or refund for completed or in-progress billing periods.
- Failed Payment Handling. If a renewal payment fails, we will retry the charge up to three (3) times over a fourteen (14) day period via Stripe's automated retry logic. If all retries fail, your account will be automatically downgraded to the Standard tier and Pro/Enterprise features will be suspended. We will not delete your account data on a payment failure; you may restore your prior tier at any time by updating your payment method via Profile → Plan & Power-Ups.
- Pricing Changes. We may change subscription pricing from time to time. For existing subscribers, we will provide at least thirty (30) days advance notice of any price increase via email and an in-platform notification. You may cancel before the increase takes effect; continued use after the effective date of the new pricing constitutes acceptance.
- Taxes. All subscription fees are exclusive of applicable taxes. You are responsible for any sales, use, value-added, goods-and-services, or similar taxes assessed by any taxing authority in connection with your subscription. Where we are required to collect such taxes, they will be itemized on your invoice and added to the subscription fee.
All payments are processed by Stripe, our third-party payment processor. By providing payment information, you agree to Stripe's terms of service. We do not store your full payment card number on our servers; we receive only a tokenized reference from Stripe.
Section 04
Eligibility & Account Registration
To use WealthLens, you must: (a) be at least 18 years of age; (b) be a licensed mortgage professional, financial advisor, or authorized agent thereof; (c) provide accurate and complete registration information; and (d) comply with all applicable federal, state, and local laws and regulations governing your profession.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@wealthlensapp.com of any unauthorized access to or use of your account.
We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion, including if we have reason to believe that provided information is inaccurate, fraudulent, or in violation of these Terms.
Section 05
Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You expressly agree not to:
- Use the Service to generate false, misleading, or fraudulent financial analyses or representations.
- Input or process client data in violation of applicable privacy laws (including GLBA, CCPA, or applicable state regulations).
- Attempt to reverse-engineer, decompile, copy, or create derivative works of the Service or its underlying technology.
- Use automated bots, scrapers, or scripts to access the Service without express written permission.
- Share your account credentials with unauthorized third parties.
- Use the Service in any manner that could damage, overburden, or impair our systems or interfere with other users' access.
- Attempt to gain unauthorized access to any part of the Service or its related systems.
- Use the Service to transmit unsolicited commercial messages or spam.
- Misrepresent AI-generated output as certified legal, financial, or compliance advice.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice.
Section 06
Advisor Responsibilities & Compliance
As a licensed mortgage professional, you acknowledge and agree to the following:
- Accuracy of Inputs: You are solely responsible for the accuracy of all data entered into the platform. WealthLens calculations are only as accurate as the data you provide.
- Regulatory Compliance: You are responsible for ensuring that your use of the Service and any client-facing materials generated by the Service comply with all applicable laws, regulations, and your licensing body's guidelines, including but not limited to RESPA, TILA, ECOA, FCRA, and applicable state mortgage lending laws.
- Client Disclosures: You remain solely responsible for providing all required regulatory disclosures to your clients. Nothing in the Service constitutes or replaces a Loan Estimate, Closing Disclosure, or any other federally or state-mandated disclosure document.
- AI Outputs: AI-generated analysis, scripts, and coaching within WealthLens are provided as informational support only. You must independently verify any AI-generated information before relying upon it in professional advice. WealthLens AI does not constitute legal, tax, or investment advice.
- Client Data: You are responsible for obtaining any necessary client consents prior to entering client information into the platform and for handling such information in accordance with applicable privacy laws.
Section 07
Intellectual Property
All content, features, technology, and materials comprising the Service, including but not limited to the calculation engine, AI models, user interface, analysis modules, branding, and underlying code, are the exclusive property of Agent Matthew, LLC and are protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your legitimate professional advisory purposes in accordance with these Terms. This license does not include the right to:
- Copy, modify, or create derivative works of the Service or its content.
- Sell, resell, sublicense, or commercially exploit any part of the Service.
- Remove or alter any proprietary notices or labels on the Service.
Your Content: You retain ownership of all data, client files, and financial scenarios you create within the platform ("Your Content"). You grant us a limited license to store, process, and transmit Your Content solely to provide the Service to you. We will not use Your Content for any other purpose.
Third-Party Standards Notices. The Service includes a functional utility that maps standard data files exported from your Loan Origination System (including Fannie Mae 3.2 and MISMO 3.4 XML) into the WealthLens scenario builder. This is a technical file-format compatibility feature. WealthLens is not certified, approved, endorsed, or affiliated with The Mortgage Industry Standards Maintenance Organization, Inc. ("MISMO"), and the Service is not represented as "MISMO Certified" or "MISMO Approved." A button or label such as "MISMO Import" describes only file-format compatibility and implies no endorsement or certification.

Section 08
Data, Privacy & Security
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.
Key data commitments:
- Client financial data is processed through a mandatory PII sanitization layer before reaching any AI engine.
- We do not sell your data or your clients' data to third parties for marketing purposes.
- AI processing partners operate under zero-retention terms, your data is not used to train external AI models.
- All data is encrypted in transit (TLS 1.3) and at rest (AES-256).
You are responsible for implementing appropriate security practices on your end, including protecting your login credentials and ensuring that client data you enter complies with your own privacy obligations.

Disclaimers & Limitation of Liability
NO WARRANTIES: To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
NOT FINANCIAL ADVICE: All outputs generated by WealthLens, including AI-generated analyses, strategy recommendations, and financial projections, are for mortgage advisory discussion and educational purposes only. They are not a substitute for professional financial planning, legal, or tax advice. Actual loan terms, rates, and costs are determined by lenders and may differ materially from any projections provided by the Service.
LIMITATION OF LIABILITY: To the fullest extent permitted by law, Agent Matthew, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claims under these Terms shall not exceed the greater of $100 USD or the amount you paid to us in the three (3) months preceding the claim.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages, so some of the above limitations may not apply to you.
Section 10
Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms, engaged in fraudulent conduct, or pose a risk to the security or integrity of the platform.
You may terminate your account at any time by contacting us at legal@wealthlensapp.com. Upon termination, your right to use the Service immediately ceases.
Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law.
Section 11
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation. If such negotiation fails, disputes shall be resolved through binding arbitration in Kent County, Michigan, under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Section 12
Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and notify registered users via email or an in-platform notification.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.
